Final order totals will be calculated and displayed before you confirm your purchase.

5.5 Gift Cards

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PEQUOD'S PIZZA, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS;
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
  • DAMAGES ARISING FROM ERRORS, INTERRUPTIONS, OR DEFECTS IN THE SITE OR SERVICES;

THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS WHERE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT PERMITTED, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO PEQUOD'S PIZZA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

8. Indemnification

You agree to defend, indemnify, and hold harmless Pequod's Pizza and its owners, officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your access to or use of the Site or Services;
  • Your violation of any provision of these Terms;
  • Your violation of any third-party right, including without limitation any copyright, trademark, property, privacy, or other proprietary right;
  • Any content, data, or information you submit to or through the Site;
  • Your negligence, willful misconduct, or fraudulent activity;

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

You and Pequod's Pizza shall make a good-faith effort to resolve the dispute within thirty (30) days after written notice is provided. Except for disputes that qualify for small claims court, any controversy or claim arising out of or relating to these Terms, or your use of the Site, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, or another mutually agreed-upon arbitration administrator. The arbitration shall take place in the state where Pequod's Pizza conducts its primary business operations, or at such other location as mutually agreed by the parties. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND PEQUOD'S PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND PEQUOD'S PIZZA AGREE, NO ARBITRATOR OR JUDGE MAY CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

12.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or to prevent irreparable harm, pending the outcome of arbitration.

13. Term and Termination

13.1 Duration

These Terms shall remain in full force and effect for as long as you access or use the Site or maintain a user account with us. Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.

13.2 Termination by You

In such event, our obligations shall be suspended for the duration of the force majeure event.
